Be patient. Not all peices get comments quickly.
Many crits: For one, you don't have to dither so much. Seriously, just cell shade. Two: a lot of wasted colors, like the blue in the eye and the various oranges in the beak. Use these "extra" colors to AA or simply get rid of them. You really shouldn't outline things on the inside, like your penguins belly.
But, a nice start ;)
